CONSTITUTION AND BY-LAWS
OF THE
ADMIRAL BAKER WOMEN’S GOLF CLUB
ARTICLE I - ESTABLISHMENT
The name of the organization shall be called the Admiral Baker Women’s Golf
Club (ABWGC).
ARTICLE II - OBJECTIVES
The purpose of this organization shall be to promote, supervise, and conduct
golf competition for women in accordance with the Rules of the United States
Golf Association (USGA) as modified by local rules.
The club intends to carry on its golf operations at the Admiral Baker Navy
(North) Golf Course in San Diego, California.
ARTICLE III - MEMBERSHIP AND DUES
Section I - All women at least eighteen
(18) years of age who have been granted playing privileges at Admiral Baker Golf
Course will be eligible for membership in the ABWGC.
A. Each candidate for membership shall complete an application and submit
it to the membership Chairman together with appropriate annual dues decided
upon by the Executive Board.
Section II - There shall be three
classifications of membership.
Regular Membership - regular members possess
a valid military identification card. They pay annual dues, pre-paid
sweeps and handicap computation charges, and are entitled to playing and
voting privileges as club members. They are also entitled to serve on the
Executive Board.
Associate Membership – associate members pay
a portion of the annual dues and full handicap fees which entitles them to a
valid USGA handicap only, but not to tee times or voting privileges.
Auxiliary Membership - auxiliary members pay
annual dues, pre-paid sweeps and handicap computation charges, and are
entitled to playing privileges, but they may not vote or serve on the
Executive Board.
Section III - Dues - dues are payable on 1 October and are delinquent
after 1 November.
A. No refunds will be made to members leaving during the calendar year.
Section IV - Handicaps - all members must have their handicaps computed
through the San Diego County Women’s Golf Association (SDCWGA). The annual
charge set by the Association must be paid at the time annual dues are
collected.
A. Handicap requirements for club participation:
1. Handicap for major tournaments must include scores from six (6) games
played within the last three (3) months of scheduled play with the ABWGC; or
in case of illness, extended travel, inclement weather, etc. have
participated in ABWGC activities at least fifty (50%) per cent of the time
during the year preceding the tournament. (Reasonable exceptions may be
considered by the ABWGC Executive Board.)
2. Handicaps based on five (5) scores may be used for competition in club
sweeps only.
ARTICLE IV - MEETINGS
Section I - Regular Meetings - General Meetings
will be held on a designated Thursday of each month. Any given monthly meeting
may be canceled at the discretion of the Executive Board if there is no pressing
business or if the weather is inclement. Monthly meetings of the Executive Board
will be held at the discretion of the President.
A. Special Meetings may be called by the President, Vice President acting
for the President, the Executive Board, or may be called at the written
request of any five (5) members in good standing; said request to state the
object thereof.
Section II - Voting Privileges - All regular members shall have voting
privileges at club meetings and elections.
A. Quorum - Twenty-five (25%) percent of the members must be present at a
meeting in order to transact business and the affirmative vote of a simple
majority is necessary to pass resolutions. Two thirds (2/3) of the members
shall constitute a quorum for transaction of business at any meeting of the
Executive Board.
B. Proxies - Voting by proxy shall not be permitted.
ARTICLE V - GOVERNING BODY
Section I - Governing Body - The governing body of
this organization shall be the Executive Board, which shall consist of the
President, Vice President/Membership Chairman, Secretary, Treasurer, Tournament
Chairman, Sweeps Chairman, and Handicap Chairman. Each chairman may select as
many assistants as she deems necessary. All officers shall be responsible to the
President.
Section II - Nominations - A nominating committee shall be appointed to
recommend officers for each elective office of the Executive board and shall
present the slate at the October meeting. Additional nominations of any members
in good standing shall be made from the floor at that time.
A. The nominating committee may also recommend Committee Chairmen to the
President. After assumption of office, the Executive Board may approve the
recommended chairman.
Section III - Elections - The Executive Board members shall be elected at
the November meeting and shall assume office on January 1st. The term of office
shall be for one year.
A. Elections shall be by secret ballot only if more than one member is
nominated for an office.
Section IV - Responsibilities and Duties
A. PRESIDENT - She shall preside at all meetings of the Club and Board. She
shall guide, direct, and advise various committees and delegates on the
policies and activities of the club.
1. She shall have the power to sign checks for club expenditures in the
Treasurer’s absence.
B. VICE PRESIDENT/MEMBERSHIP CHAIRMAN - She shall assist the President in
club activities and in her absence assume all the duties of that office. Upon
resignation or removal of the President, she shall become President and hold
that office until the next annual election. She shall also be responsible for:
1. Maintaining the membership file.
2. Publication of the annual membership booklet.
3. Assigning current members to welcome new members.
4. Passing on information sheets and membership books to new members.
C. SECRETARY - She shall perform all secretarial duties of the Executive
Board and the Club. She shall:
1. Keep records of all meetings.
2. Post a copy of general meeting minutes on the bulletin board.
3. Provide copies of all minutes to the President.
4. Provide updated copies of the Constitution, By-laws and Standing Rules
when necessary.
D. TREASURER - She shall receive and keep a record of all club monies. She
shall:
1. Prepare and present an estimate or projection of expenses for the
coming year.
2. Make monthly reports to the Executive Board and at general meetings.
3. Maintain the sweeps ledger and be responsible for the payment of same
to members.
4. Accept prize money only from the ABWGC and the SDCWGA for deposit to
member’s accounts.
5. Be responsible for an audit at the end of the year.
a. In the event the Treasurer is unable to complete the term of office,
an audit of the books must be made prior to the turn-over.
E. TOURNAMENT CHAIRMAN - She shall conduct the President’s Cup and the
Championship Tournament. She shall:
1. Submit full reports of tournaments to the Executive Board.
2. Have club treasury funds available to supplement the entry fees and
costs of major tournaments or any other special events approved by the
Executive Board.
3. Coordinate dates with the Sweeps Chairman when scheduling events.
4. Consult with the Pro Shop to determine best dates in scheduling
events.
F. SWEEPS CHAIRMAN - She shall plan and conduct all weekly competitions
except the major tournaments. She shall:
1. Prepare a schedule of events and present it to the Executive Board for
approval.
a. Schedule will be published in the membership book together with a
description of the games.
2. Distribute responsibility for supervision of competition among members
by having monthly volunteers perform duties under her supervision at her
discretion.
a. Have guidelines for procedures available for monthly hostesses if
required.
3. Promptly post play day results and give a copy to the Treasurer for
the Sweeps Ledger.
G. HANDICAP CHAIRMAN - She shall be responsible for player’s scoring
records and their compliance with rules for posting scores. She shall:
1. Be required to attend SDCWGA-sponsored handicap seminars and become
certified.
2. Review and correct data and scores for submission to IDC for
computation.
3. Notify members as to where SDCWGA handicap cards are kept and instruct
them as to the importance of recording scores properly in the computer.
4. Communicate with new members to obtain previous scoring records.
5. Keep monthly handicap index lists posted on the bulletin board and
present same to Sweeps Chairman.
a. Also present copies of handicap lists to Sweeps Chairman, Tournament
Chairman, Team Captain, and Ringer Chairman as needed.
6. Work closely with the Tournament Chairman regarding eligibility of
members for major tournaments and for members in good standing.
7. Must have approval of the Executive Board to arbitrarily reduce or
increase the handicaps of players who do not post all their scores or
otherwise observe the spirit of the handicap system.
a. Handicaps are sometimes reduced automatically by IDC because of
tournament (T) scores.
Section V - Responsibilities and Duties of Committee Chairman and
Delegates
A. Social Chairman - shall be in charge of social events and make
arrangements for any affairs involving food and/or beverages. She shall also
send cards to members who are ill or hospitalized.
B. Rules Chairman - shall enforce USGA and local rules. She shall:
1. Be required to attend SDCWGA-sponsored rules seminars.
2. Make copies of local rules approved by the Executive Board so that
they are listed on the bulletin board and also available to all members.
3. Furnish copies of local rules for major tournament competition, team
play, and special events.
C. Trophy Chairman - shall be responsible for purchase and distribution of
prizes and awards. She shall:
1. Work closely with Tournament Chairman and Sweeps Chairman.
2. Collect Hole-in-one insurance
D. Ringer Chairman - shall be responsible for collecting Ringer tournament
fees, recording scores from cards and announcing results of each tournament.
She shall:
1. Keep Treasurer informed as to results for the Sweeps Ledger.
E. SDCWGA Delegate - shall be a current member of SDCWGA and keep members
and the Executive Board informed as to SDCWGA activities.
F. Team Captain - Members who will represent the Club in County team play
shall elect a team captain whenever required by the Association. She shall:
1. Obtain team dues from the club treasury.
2. Select team members who are members in good standing of ABWGC and have
met SDCWGA eligibility requirements.
3. Keep records of team matches with results and standings available to
team players and club members.
4. Be responsible for initiating the procedures for selection of a team
captain for the following year.
Section VI - Vacancies - Vacancies in elective offices shall be appointed
by the Executive Board for the unexpired terms.
Section VII - Liability - No indebtedness nor liability shall be incurred
by the Executive Board in any year exceeding the amount of available funds on
hand. No liability shall be incurred by any member of the club, nor member of
any committee of the club, unless the same shall be authorized by the Executive
Board.
ARTICLE VI - AMENDMENTS
These by-laws, or any part thereof, may be amended by a two-thirds (2/3)
majority of all votes at an open meeting, provided the date and proposed
amendment have been posted on the bulletin board two weeks prior to the meeting.
ARTICLE VII - RULES OF ORDER
In all cases not provided herein, the organization shall be governed by the
laws and practices laid down in "Robert’s Rules of Order."
